Terms of Use

A La Carte Offers, Courses, Tools, and Resources

Please read these Terms of Use carefully and in their entirety before purchasing or using any a la carte offer, course, tool, or resource (each, an “Offer,” and collectively, the “Offers”) from Taylor Posada, LLC. All Offers and their content are owned by Taylor Posada, LLC.

  1. Definitions:

“Company,” “We,” “I,” “Our,” or “Us” means Taylor Posada, LLC.

“Offer,” “Offers,” “Product,” or “Products” means any a la carte (non-membership) product, course, tool, workbook, calendar, report, or resource sold by Taylor Posada, LLC, including but not limited to:

  • Plan, Scale, Profit (PSP) — the course, including one-time lifetime-access purchases of the course
  • Keyword Confidence Tool (KCT)
  • Listing Diagnostic Tool (LDT)
  • Profit Plan Workbook
  • Niche Calendar
  • Monthly Trend Report (single or a la carte purchases outside of the PSP Club membership)
  • Lifetime Access purchases of any eligible Offer
  • Any future a la carte products, courses, tools, or resources released by the Company.

“Tool” or “Tools” means any interactive, software-based product offered by the Company, including but not limited to the Keyword Confidence Tool and the Listing Diagnostic Tool.

“Participation,” “Participating,” “Using,” or “Use” means accessing, downloading, viewing, implementing, inputting data into, or otherwise engaging with any Offer.

“You,” “Your,” “User,” or “Client” means the purchaser and person using the Offer.

  1. Consent:

By purchasing and/or using any Offer, you voluntarily agree to act in accordance with, agree to, and abide by these Terms of Use.

  1. Changes to Terms:

The Company reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Company website. Continued use of any Offer after such changes constitutes acceptance of the updated Terms.

  1. Educational Disclaimer:

Each Offer is provided for educational and informational purposes only. The information, frameworks, strategies, and outputs provided through any Offer are not intended or implied to supplement or replace professional advice from an attorney, accountant, financial advisor, or other licensed professional. You are encouraged to consult appropriate professionals regarding your specific situation.

The Company makes no representations or warranties about the accuracy, completeness, suitability, or applicability of any information provided through the Offers, and assumes no responsibility for errors or omissions.

  1. License to Use:

Your purchase grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the purchased Offer for your own individual business use only. This license does not include the right to resell, sublicense, redistribute, or grant access to any third party.

  1. Tool Functionality, Availability, and Right to Sunset:

Tools are provided on an “AS IS” and “AS AVAILABLE” basis. The Company does not guarantee uninterrupted access, error-free performance, or specific uptime. From time to time, Tools may be temporarily unavailable for maintenance, updates, or reasons outside the Company’s control.

The Company reserves the right to update, modify, replace, or sunset (discontinue) any Tool at its sole discretion. In the event a Tool is sunsetted or materially changed, the Company will provide reasonable advance notice via email to active users and, where possible, will offer a replacement, equivalent resource, or alternative pathway. Sunsetting or modification of a Tool does not entitle the User to a refund.

  1. AI and Future Functionality:

As of the date of these Terms, the Company’s Tools do not utilize third-party artificial intelligence (“AI”) providers (such as OpenAI, Anthropic, Google, or similar) to process User inputs. The Company reserves the right to integrate third-party AI functionality into its Tools in the future. If and when such integration occurs:

  • Users will be notified via email and/or in-product notice prior to AI features being enabled.
  • Continued use of the Tool after AI integration constitutes acceptance of the updated terms.
  • The Company will disclose, in plain language, what data is sent to third-party AI providers and for what purpose.

You acknowledge that any AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific situation. You are solely responsible for reviewing, verifying, and exercising your own professional judgment before relying on or acting on any AI-generated output.

  1. Data Collection, Storage, and Use:

Data You Provide. When you use a Tool, you may input information including, but not limited to:

  • Keywords, search volume figures, and competition data (Keyword Confidence Tool)
  • Listing titles, listing URLs, niche and product data, uploaded images, and listing performance metrics such as views, favorites, and sales (Listing Diagnostic Tool)

Where Your Data Is Stored. Data submitted to the Tools is stored across one or more of the following systems:

  • Kajabi (the Company’s course and content platform)
  • Google Sheets
  • Supabase (used for the Listing Diagnostic Tool)

The Company takes reasonable measures to protect User data but does not guarantee absolute security. By using the Tools, you acknowledge the inherent risks of online data storage.

How Your Data Is Used. The Company may use User input data, in aggregate and anonymized form, to:

  • Maintain, improve, refine, and train the Tools
  • Evaluate Tool performance and user experience
  • Identify common patterns and trends to improve future versions of the Tools
  • Develop new features, frameworks, and educational resources

What the Company Will Not Do. The Company will not:

  • Sell User data to third parties
  • Publicly identify a User or a User’s shop in connection with their input data
  • Share your individual shop URLs, listing URLs, or product designs publicly without your explicit, separate consent

Your Right to Request Deletion. You may request deletion of your individual data at any time by emailing [email protected]. Deletion requests will be honored within a reasonable timeframe and may result in loss of access to certain Tool features that depend on stored data (such as historical dashboards or saved diagnostics).

  1. Ownership of Inputs and Outputs:

You retain 100% ownership of:

  • Any data, content, images, or information you input into the Tools
  • Any outputs, reports, scores, recommendations, or summaries generated for you by the Tools based on your inputs

The Company retains ownership of:

  • The Tool itself, including its underlying code, frameworks, scoring systems, methodologies, design, and user interface
  • Any aggregated, anonymized data and insights derived from collective User behavior
  1. Lifetime Access and Updates:

Where an Offer is sold as “lifetime access,” the word “lifetime” refers to the operational lifetime of the Offer itself, meaning for as long as the Company continues to actively offer and maintain that Offer. “Lifetime” does NOT refer to the lifetime of the User, and it does NOT mean access is guaranteed forever, indefinitely, or in perpetuity.

Your lifetime access continues only for as long as the Offer exists and is maintained by the Company. If the Company chooses to retire, discontinue, sunset, replace, or stop maintaining the Offer at any time, as permitted under Section 6, your lifetime access to that Offer ends at that time. Discontinuation of an Offer for any reason does not entitle the User to a refund.

While an Offer remains active, lifetime access includes future updates and improvements to that Offer at no additional cost.

Lifetime access does not include access to new, separately-sold products or Offers, even if related to the original purchase.

For clarity, a lifetime-access purchase of Plan, Scale, Profit (PSP) includes access to the PSP course content for as long as the PSP course remains offered and maintained by the Company, along with any future updates or improvements to that course at no additional cost. A lifetime-access purchase of PSP does NOT include, and is separate from: the Keyword Confidence Tool (KCT), the Listing Diagnostic Tool (LDT), the PSP Club membership (including its community, group coaching, and live calls), any one-on-one coaching offer, Monthly Trend Reports, or any other product, tool, or membership, each of which is sold separately. Any references to such tools, memberships, or resources within the PSP course are provided for educational and informational purposes only and do not grant access to those separately-sold products.

  1. Assumption of Risk:

You acknowledge that your use of any Offer is voluntary and undertaken at your own risk. You assume full responsibility for your actions, decisions, business strategies, and results based on the information, frameworks, or Tool outputs provided.

  1. Intellectual Property Ownership:

All content within the Offers — including but not limited to course videos, written content, workbooks, templates, frameworks, scoring methodologies, Tool functionality, design systems, the Pattern A/B/C/D framework, the Bucket Theory framework, the Rule of Five Ones, Trend Reports, Niche Calendar content, and any other proprietary material — is the exclusive intellectual property of Taylor Posada, LLC.

Unauthorized use, reproduction, distribution, screenshotting for distribution, sublicensing, public sharing, resale, or repurposing of any Offer content will be pursued to the fullest extent of the law, including legal action for damages, injunctive relief, and recovery of attorney’s fees.

  1. No Sharing:

Your purchase grants individual, non-transferable access only. You may not share login credentials, course access, Tool access, downloads, links, or any Offer materials with others. Violation will result in immediate termination of access without refund.

  1. Confidentiality of Frameworks:

Proprietary strategies, frameworks, scoring systems, and methodologies shared within any Offer are confidential and may not be taught, repurposed, resold, or redistributed in any form — including but not limited to courses, coaching programs, social media content, paid services, or digital products — without prior written consent from the Company.

  1. Testimonials and Content Release:

By purchasing and/or using any Offer, you grant Taylor Posada, LLC a perpetual, royalty-free, non-exclusive license to use your comments, feedback, testimonials, results, screenshots of public posts, and any content you share publicly (including in community spaces, on social media tagging the Company, or via direct submission) for marketing, promotional, and educational purposes. This includes use on social media, the Company website, sales pages, emails, advertisements, and future program materials.

The Company agrees to the following protections when using User content for testimonial or promotional purposes:

What the Company will share: First names only, applicable profile pictures visible in public-facing content, and results or feedback that the Company believes will help future Users make an informed decision.

What the Company will NOT share: Last names, shop names, specific product designs, listing URLs, or any information that would allow someone to identify or locate your Etsy shop or individual listings. The Company will not share private business data, revenue figures, or analytics unless you have explicitly and voluntarily shared that information in a public-facing context.

Opt-Out. If you would like to opt out of testimonial use entirely, you must notify the Company in writing at [email protected]. Opting out does not affect your access to or use of any Offer.

  1. No Claims Made Regarding Results:

Any testimonials, examples, or references to results — including the Company’s own sales figures — are illustrative only and do not guarantee similar outcomes. The Company makes no assurances regarding income, sales, profitability, or business success. Results vary based on many factors including effort, experience, consistency, niche selection, and market conditions.

  1. No Warranties or Guarantees:

Each Offer is provided “AS IS” without warranties of any kind, express or implied. The Company disclaims all warranties including merchantability, fitness for a particular purpose, accuracy, and non-infringement to the fullest extent permitted by law.

  1. Refund Policy:

No Refunds. Due to the digital and downloadable nature of the Offers, all sales are final and no refunds will be issued under any circumstances once payment has been processed.

No Chargebacks. You agree not to initiate chargebacks. Any chargeback may result in immediate termination of all access to all Offers and memberships, and may be reported as a delinquent account. The Company reserves the right to pursue recovery of any disputed amounts.

  1. Release, Indemnification, and Hold Harmless:

To the fullest extent permitted by law, you agree to release, indemnify, and hold harmless Taylor Posada, LLC and its affiliates, employees, contractors, and agents from any and all claims, damages, losses, or expenses arising out of your use of any Offer, your reliance on any information or output provided, or your business activities, products, or listings.

  1. Company’s Right to Terminate:

The Company reserves the right to terminate or refuse access to any Offer at any time, at its sole discretion, if it determines that the relationship is no longer aligned, productive, or in the best interest of either party — or if a User violates these Terms. No refunds will be provided in the event of such termination.

  1. Limitation of Liability:

In no event shall Taylor Posada, LLC be liable for any indirect, incidental, special, consequential, or punitive damages related to your use of any Offer, including but not limited to lost profits, lost sales, business interruption, loss of data, or damages resulting from reliance on any Offer content or Tool output. The Company’s total liability, if any, shall not exceed the amount paid by the User for the specific Offer in dispute.

  1. Arbitration Clause:

Any dispute arising out of or related to these Terms or the Offers shall be resolved via binding arbitration under the rules of the American Arbitration Association (AAA), within 60 miles of Baltimore, Maryland. By agreeing, you waive your right to a jury trial. The only monetary award available to you, if any, will be limited to a refund of amounts paid directly to the Company for the specific Offer in dispute. Nothing in this clause obligates the Company to provide a refund where the “No Refunds” policy applies.

  1. Payment:

Payments are processed via SamCart, Kajabi, or such other payment processor as the Company may designate. Third-party payment options (such as Klarna, Afterpay, or Affirm) may be available at checkout and are subject to those providers’ own terms and conditions. The Company is not responsible for third-party payment processor policies, fees, or disputes.

By purchasing, you authorize the charge as agreed at checkout. A la carte Offers are typically a one-time payment unless otherwise stated on the sales page or checkout.

  1. Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  1. Entire Agreement:

These Terms of Use constitute the entire agreement between you and the Company regarding your purchase and use of the Offers. They supersede any prior agreements or representations.

  1. Choice of Law and Venue:

These Terms are governed by the laws of the State of Maryland. Any legal action shall be brought in Harford County, Maryland.

  1. Legal Compliance and Intellectual Property Responsibility:

You are solely responsible for ensuring your products, listings, and business activities comply with all applicable laws, including trademark and copyright laws. The Company does not provide legal advice. If you choose to sell products that infringe on the intellectual property of others, you do so at your own risk and agree to indemnify the Company against any related claims or damages.

By purchasing and/or using any Offer, you acknowledge that you have read, understood, and agree to these Terms of Use in full.
